Thank you very much for this good news.
Since we have agreed on new payment conditions, accordingly, we should make modifications to the existing contract and reflect changes in the amendment.
I will prepare the draft amendment and will share it with you shortly, meanwhile please provide us with an invoice for an increased number of tests which
is 160 000.
As long as, the amendment is still needed, for the changes in terms of Payment, in order to save time, we will include an increased number of tests in
the same amendment. Based on the modification, the total amount of tests will be 400 000 (previous request 240 000; new request 160 000) tests.

I hope this email finds you well. We would like to express our sincere gratitude towards your efforts, for the aim to finalize the contract negotiation.
However, as we have informed your company, during the whole negotiation process, unfortunately, the Ministry, together with the WB PIU team, is unable to accept advance payment guarantee issued by Chinese banks, without official confirmation
by the Local Bank of Georgia, or as an alternative, the bank guarantee should be issued by a top-rated banks in Europe.
In this regard, considering that this contract is very important for us, we suggest different options of payment that we believe will avoid inconveniences for both parties and will help to finalize the direct procurement procedures
with your company.
Since, according to the World Bank regulations, in some cases, the 10 % of advance payment can be paid without submission of the advance payment guarantee, we propose to replace payment method in the following manner:
1. 10 % advance payment, 30% on shipment, 60% on acceptance or
2. No advance payment, 60% on shipment, 40% on acceptance
General Terms of payment:
Advance Payment: within 5 days after signing the Contract and upon submission of a claim for the amount;
On Shipment: within ten days after submission of documents specified in CC 7.
On Acceptance: within ten days of receipt of the Goods upon submission of claim supported by the acceptance certificate issued by the Purchaser.
We are confident that the suggestions we have made to your company will be acceptable, otherwise are afraid that the negotiation might be at risk.

As an additional explanation regarding the use of term, Georgian Law, please be advised, that using the Georgian Law as a governing law of the contract implies that the Terms and Conditions
of the contract will be interpreted in accordance with general laws of Georgia, in the event of any uncertainty raised in the contract. However, the dispute resolution Law, in the event of disagreements between the parties, will be settled using the Rules
of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the Rules, as it is stated in the Contract.

organization. As you may understand, the private sector acts and takes decisions without constraints.
Given the fact that the current purchaser is state, represented by the Ministry of Internally Displaced Persons from the Occupied Territories, Labour,
Health and Social Affairs of Georgia, we are unable to accept any law as governing of the contract, other than Georgian.
We take this opportunity as a next step for our future cooperation towards Coping with Coronavirus and do hope for your understanding.

Following our call, we understand that in terms of transportation, you are concerned to take risks because of the uncertain flight schedule, while providing goods
to Tbilisi International Airport (freight and insurance paid). As we understand this delivery is one of the exceptional cases in terms of CIP delivery, greatly appreciated.
In accordance with the mentioned above, please find our responses to your comments and proposed new wording regarding the transportation (Conditions of Contract,
clause 16). The clause enables the parties to proceed with fulfilling the obligations while providing the flexibility not to be bound with strict timelines. However, we stay assured of your understanding of the urgency and rely on your earliest consideration
of processing the delivery.
In addition, as we have discussed during the call, we need to increase the overall number of tests. Please find the information in the enclosed attachment.
Upon receiving your comments on the proposed delivery term, we will submit the draft contract for your review

Please be advised, that the advance payment (40% of the contract price that shall be paid upon submission of claim and a
bank demand guarantee), as well as the entire amount of the contract price will be paid by the Ministry of IDP from Occupied Territories, Labor, Health and Social Affair. A maximum period of payment is - within 15 days after the submission of the relevant
documents.
As for Terms of payment remaining 60% of contract price can be paid
on shipment or in acceptance as it is indicated in the offer. Although, percentage can be the subject of the negotiation.
Since, the international transport shall be by air, which is quite fast way of delivery, we propose payment of remaining 60% on acceptance, which, from our standpoint, will be more convenient for you, as on shipment you should submit
documents specified in CC 7 (an airway bill, insurance certificate, Manufacturer’s or Supplier’s warranty certificate, inspection certificate issued by nominated inspection agency, Supplier’s factory shipping details).
Nevertheless, you are able to make a choice between the options appropriate for you within the scope of the World Bank procurement standard documents and regulations.

We appreciate very much that you are considering our request regarding the CIP trade terms. However, please consider that there are number of issues that should be clarified.
Therefore, please find the following comments on your letter:
1. Please be advised, that the whole procurement process is being conducted under the WB funded COVID-19 Emergency Response project, in accordance with the World
Bank procurement guidelines and standard documents. According to the guidelines maximum value of the advance payment is envisaged 40 % of contract price, that shall be paid upon submission of claim and a bank demand guarantee, in the form provided in the
request for invitation for direct contracting or another form acceptable to the Purchaser, for equivalent amount valid until the Goods are delivered and in the form of Advance Payment Security provided in the request for invitation for direct contracting or
another form acceptable to the Purchaser.
Although, the parties have the opportunity to negotiate number of the provision of the contract, including the method and conditions of payment, however it should be within the
scope of the World Bank procurement regulations and standard documents.
In addition, I would like to draw your attention to the fact that, the Purchaser is a governmental institution and we assure you that it is guaranteed by the government of Georgia, that the contract provisions will be fulfilled in
timely manner. Any delays related to the payment is excluded from our side. Besides, I am sure you have noticed that World Bank representative is always in cc during our communication as an observer.
2. According to the World Bank procurement standard documents, the Purchaser is obliged to publish a contract award notice on its website with
free access, or in a newspaper of national circulation or UNDP online platform, within 15 days after award of contract. The information shall include the name of the successful Supplier, the Contract Price, the Contract duration and summary of its scope.
In this regard, taking into account your request, we can offer the publication of a total price and product description without indicating the quantity. As a result, we will avoid the identification of the unit prices. We hope this
option is acceptable for you.
As for Manufacturer’s Authorization, you don’t need to submit it If you are manufacture or produce the Goods to be supplied, by yourself.

In addition to the email below, we kindly ask to discuss the possibility of including all transportation costs (delivery terms - Incoterm 2020, CIP ) in your
updated offer.
We understand that the way we have cooperated before was different, however, this time, as I mentioned below, procurement procedures are conducted under the
World Bank Procurement Regulations and financed by the Bank under the Georgia Emergency COVID-19 Responses Project. Since the Ministry of Health cannot pay transportation costs beyond the project, we would appreciate if you could consider the abovementioned
situation and include all transportation costs in your offer.
