Thank you for the comments on the Agent Agreement (AA). Please note that we are instructed by the Ministry of Foreign Affairs in Japan that the Agent Agreement is a standard document and we should not change the wording unless there is legal bases.

So, we will carefully review the comments and send you our feedback.

 

And thank you for the grant application. We hope the Agent Agreement is signed as soon as possible so that we are able to commence the procurement.

Hereby, I would like to provide you with the grant application signed by the Minister Ms. Ekaterine Tikaradze on 25th of May, 2020. Hard copy of this document as well as note verbal through MFA od Georgia was handed to the Embassy of Japan for further procedures. Based on this document, the required/already selected medical equipment to be procured within this grant project is Defibrillator (110 units) and Electrocardiograph (155 units). The end-user of the project is LEPL Emergency Situations Coordination and Urgent Medical Assistance Center.

As Mr Obata of Embassy of Japan kindly shared your email, I would like to take this opportunity to introduce myself – my name is Ritsuko Yonemichi(Ms) and I will be responsible for the management of this Programme in Crown Agents Japan Limited. I will be assisted by my colleague Ms. Marika Goguadze (marika.goguadze@gmail.com) who is based in Tbilisi.

We are honoured to work with you regarding the programme.

 

We understand that the Government of Georgia and Japan are working on signing of the Exchange of Notes. Once the Exchange of Notes is signed, it is necessary for us to conclude an Agent Agreement with your Ministry to commence the implementation of the progremme as your government’s procurement agent.

These ends we are pleased to attach hereto a copy of the draft Agent Agreement agreed with the Government of Japan for your consideration and comment. This document sets out the services that Crown Agents will be honoured to provide to your ministry in regards of the procurement of equipment under the programme as well as the procedures that must be adhered to and responsibilities of all parties.

 

I would like to explain the steps to follow after the signing of Exchange of Notes.

 

Signature of the Agent’s Agreement

Once your Ministry accept the Agent Agreement, Crown Agents will submit two signed copies for your signature. Please retain one copy for your records. We will contact you to agree how to collect the signed Agent Agreement.

 

Blanket Disbursement Authorisation

The agreed mechanism that will allow Crown Agents to deliver the procurement services under the programme requires that you kindly sign this Appendix C of the Agent Agreement which will be presented to the Japanese Bank where your Government will have opened an account to receive the funds from the Government of Japan. This will be a Yen account at the MUFG Bank Ltd.

 

Committee meeting

With reference to the Point 3 The Committee (4) of the Agreed Minutes on Procedural Details, the first committee meeting shall be held as soon as practically possible after the approval by the Government of Japan of the Agent Agreement to discuss matters concerning the programme including the items to be procured and the procurement process.

 

Procurement Process

Once the Agent Agreement is approved by the Government of Japan and the Committee meeting is held, Crown Agents will proceed with the procurement of the equipment. 

 

We look forward to receiving any comments you may have in regard of the attached draft Agent Agreement. If you need the Georgian Translation, please let us know. We will try our best to prepare it as soon as possible.
